UAE Free Zone & Business Structuring Guide
The UAE has many free zones, mainland routes and specialised business jurisdictions. The right jurisdiction depends on what you want to build, sell, own or operate — not only on the licence price.
Why Choosing the Right Free Zone Matters
A UAE trade licence is more than a registration document. It defines what the company is allowed to do, which authorities may become involved, what kind of premises may be required, and how banks, counterparties, accountants and regulators will understand the business.
For simple professional services, several free zones may appear similar. For specialised activities — real estate, education, publishing, aircraft ownership, warehousing, financial services, asset holding or physical mainland operations — the choice of jurisdiction can affect the entire structure.
The UAE has a wide network of free zones and business jurisdictions. Many standard activities overlap between jurisdictions. That is why Octopus BFCO works with a selected shortlist of routes that cover the main client scenarios while still allowing specialised alternatives where required.
We do not claim that one free zone is always the best. We identify the most appropriate starting route based on the business model.
Start With — Not the Cheapest Licence
Important: Free Zone Does Not Automatically Mean Zero Tax
A UAE free-zone company is not automatically exempt from corporate tax or VAT. The 0% corporate-tax treatment depends on whether the company qualifies as a Qualifying Free Zone Person and whether the income is Qualifying Income under UAE Corporate Tax rules. VAT treatment also depends on the type of supply, the customer, the location and whether goods or services are involved. Octopus BFCO coordinates tax analysis with qualified advisers where required.
Selected Routes
A practical map of selected routes covering most client scenarios — from professional services and e-commerce to aviation, publishing, education, holdings and regulated structures.
Professional services and digital business route
IFZA is our default Dubai route for many service-based and digital businesses that need a Dubai structure without complex physical infrastructure.
Real estate, brokerage and commission-based business route
Meydan is relevant when the company earns commission, introduces parties, coordinates transactions or requires selected real-estate-related activities subject to additional approvals.
Media, creators, coaching and education-services route
SHAMS is suitable for expertise-driven businesses where the primary product is knowledge, content, tutoring or personal expertise.
Publishing, intellectual content and rights-monetisation route
SPC is suitable for companies that create, acquire, publish, license or distribute intellectual and creative content. Note: a publishing licence does not itself transfer copyright.
Cost-effective e-commerce and small commercial business route
Ajman Free Zone is useful when the client sells physical goods, wants a cost-effective company and does not require a Dubai address.
Industrial, warehousing and aircraft-owning structure route
RAKEZ is suitable for industrial and warehouse-based businesses, and can also be considered for aircraft-owning or aircraft-leasing structures subject to GCAA registration.
Premium international trade and scalable business route
DMCC is usually considered when reputation, trading credibility, office infrastructure and scalability matter more than the lowest licence cost.
Port logistics, warehousing and large physical trade route
JAFZA is suitable when goods physically move at scale and the business needs port-connected logistics, warehousing or distribution infrastructure.
Aviation operations, air cargo and airport-logistics route
Dubai South is relevant when the business is connected to aviation operations, airport logistics or the Al Maktoum airport ecosystem. For passive aircraft ownership, RAKEZ may be more efficient.
Direct operational presence in the Dubai local market
Mainland is suitable when the business operates physically in the local market, serves UAE customers directly, hires staff or requires approvals not practical through a free zone.
Financial services and wealth ecosystem route
DIFC is used when the business needs a Dubai-based international financial centre, common-law environment or DFSA-regulated financial structure.
Holdings, SPVs, investment and asset-ownership route
ADGM is suitable for holding companies, SPVs, asset-ownership structures and sophisticated investment or regulated financial arrangements.
Activity Finder
Select one or more activities. We will return suggested jurisdiction routes, secondary alternatives and any regulatory notes.
A low-cost licence can be useful when it fits the activity. But if the company later needs a different activity, external approval, warehouse, bank account, staff, mainland contracts or asset-ownership structure, the original licence may create unnecessary amendments, delays or restructuring costs.
