We may request evidence of identity, age, authority or legal capacity.
Accounts for children or dependants must be created and managed by a parent, legal guardian or appropriately authorised adult.

- select the relevant acceptance checkbox;

- verify your email address;
- verify your telephone number where required;
- enter or confirm a one-time verification code;
- or otherwise perform an electronic action clearly identified as acceptance.
Offer and acceptance may be expressed electronically, and a contract does not lose legal validity merely because it is created in electronic form. UAE law also recognises contracts made through automated electronic systems.
Your consent to electronic dealing may be demonstrated by conduct indicating that consent, and electronic signatures may be used unless another form is legally required.
We may retain evidence of acceptance, including:
- your name;
- account identifier;
- verified email address;
- verified telephone number;

You consent to receive contractual, account, security, service and administrative communications electronically, including through:
- email;

- WhatsApp;
- telephone messages;
- other contact details supplied by you.
Electronic communications may include:
- verification codes;
- account notifications;
- copies of accepted documents;

- amendments requiring notice.
You are responsible for maintaining accurate contact details and regularly checking communications sent to them.
Marketing communications are governed separately and may require separate consent.
7. Registered User Status
Acceptance of these Terms creates the status of Registered User only.
Registration does not:
- make you an Active Client;
- activate any paid package or Service;
- create a subscription;
- guarantee onboarding;
- guarantee access to any particular feature;
- require us to provide advice, analysis or coordination;
- require us to appoint a manager;
- require us to accept a request;
- reserve staff or third-party resources;
- create authority for us to act in your name;
- constitute acceptance of any transaction.
Your Account may initially display a status such as:
Registered — Pending Onboarding and Activation
Access to features may remain restricted until additional steps are completed.
8. Onboarding and Activation
Before activating a Service or accepting you as an Active Client, we may require:
- identity documents;
- proof of address;
- corporate documents;
- tax residency information;
- source-of-funds or source-of-wealth evidence;
- information about family members or dependants;
- financial or banking documents;
- compliance questionnaires;
- confirmation of objectives and requirements;
- additional agreements;
- payment;
- completion of a Service Order.
We may conduct:
- identity checks;
- conflict checks;
- risk assessments;
- compliance reviews;
- document reviews;
- preliminary qualification;
- internal approval procedures.
Submission of information does not oblige us to complete onboarding or activate a Service.
9. Right to Decline or Suspend Activation
To the extent permitted by law, we may decline, delay, suspend or discontinue onboarding or Service activation where:
- information is incomplete, inconsistent or inaccurate;
- required documents are not supplied;
- identity or authority cannot be verified;
- the request is outside our licence, expertise or capacity;
- a conflict of interest exists;
- compliance, sanctions, fraud or reputational concerns arise;
- a suitable licensed provider is unavailable;
- the requested activity may be unlawful or inappropriate;
- payment requirements are not met;
- continuing the relationship would expose us or another person to unreasonable risk;
- another legitimate business or legal reason exists.
Where no paid Service has been activated, declining onboarding does not create liability for failure to provide Services.
Mandatory rights under applicable law are not excluded.
10. Nature of the Framework Agreement
These Terms establish a framework for possible future cooperation.
They do not themselves specify:
- a particular Service;
- a fixed scope of work;
- a completion deadline;
- a Service fee;
- a subscription period;
- a guaranteed response time;
- a guaranteed result;
- exclusivity;
- minimum purchase obligations.
The scope, price, duration, deliverables and special conditions of a particular Service will be agreed separately.
11. Activation of Specific Services
A Service becomes active only when expressly confirmed through one or more of the following:
- an accepted Service Order;
- an accepted membership or package confirmation;
- a separate engagement letter;
- an electronically accepted quotation;
- an invoice stating that payment constitutes acceptance;
- an online purchase or subscription confirmation;
- a separate written confirmation from the Company;
- another clear record showing agreement on the Service.
Payment alone does not expand the Service beyond the scope stated in the relevant confirmation or invoice.
Where a Service Order conflicts with these Terms, the Service Order prevails only in relation to the specific Service and only to the extent of the conflict.
12. Possible Areas of Coordination
Depending on our licence, capacity and separate Service activation, Octopus Prime BFCO may provide or coordinate support relating to:

This list describes potential areas of assistance and does not mean that every Service is included, available or activated.
13. Regulated and Third-Party Services
The Company does not hold itself out as a law firm, tax practice, audit firm, bank, insurance company, medical provider, investment manager or other regulated professional practice unless expressly licensed to perform the relevant activity.
Where regulated expertise is required, the relevant service may be provided by an appropriately licensed independent third party.
This may include:
- lawyers;
- tax advisers;
- accountants;
- auditors;
- banks;
- payment institutions;

- documents you have no right to use;
- irrelevant personal data;
- malicious software;
- unlawfully obtained information;
- defamatory or infringing material;
- fabricated or altered documents;
- passwords, PINs or third-party online banking credentials.
Uploading a document does not mean that it has been reviewed, approved, verified or accepted by the Company.
17. Third-Party Personal Data
Where you provide data concerning another person, you confirm that:
- you are authorised to provide it;
- the disclosure is lawful;
- the information is relevant to the request;
- any required notice or consent has been obtained.
We may request evidence of authority or contact the person directly where appropriate.
18. Account Security
You are responsible for maintaining the security of your Account.
You must not:
- share passwords or OTP codes;

We may temporarily restrict an Account where suspicious activity, security risk or misuse is detected.
19. Payments
Registration is free unless expressly stated otherwise.
Paid Services may be invoiced or collected through:
- Stripe;
- bank transfer;
- another separately approved payment method.
Applicable prices, taxes, payment schedules and refund conditions will be stated in the relevant Service Order, invoice or purchase confirmation.
You are responsible for:
- providing accurate billing information;
- paying amounts when due;
- bank and currency conversion charges imposed by third parties;
- taxes or duties allocated to you under the relevant Service terms.
Stripe and banks may process payment information under their own terms and privacy notices.
20. Cancellations and Refunds
The cancellation and refund rules for a paid Service will be stated in the relevant Service Order, invoice, package description or purchase confirmation.
Unless otherwise stated:
- registration may be cancelled without charge;
- payments for work already completed are not refundable;
- third-party costs already incurred are not refundable;
- government, bank, developer, professional-provider and application fees are subject to the relevant third party's rules;
- prepaid unused amounts will be handled according to the applicable Service terms and mandatory law.
Nothing in these Terms limits non-waivable consumer rights.
21. Third-Party Costs
Third-party charges are separate from our own fees unless expressly stated otherwise.
They may include:

Results depend on facts, documents, authorities, markets, third parties and decisions outside our control.
23. Information and Recommendations
Information supplied through the website or Platform may be:
- general;
- preliminary;
- based on information supplied by the user;
- dependent on changing laws, prices, availability or third-party requirements.
It should not be treated as regulated professional advice unless expressly supplied by an appropriately licensed provider under a separate engagement.
Users must independently review important legal, tax, financial, medical and investment decisions with the appropriate professional.
24. Real Estate Matters
Property information may be supplied by developers, owners, brokers, listing platforms or other third parties.
Unless expressly confirmed:
- availability is not guaranteed;

Additional terms are provided in the Real Estate Disclosure.
25. Intellectual Property
The Platform and its content, including:
- text;
- design;
- branding;
- graphics;
- reports;
- templates;
- workflows;
- databases;
- coordination methods;
- software interfaces;
- research materials;
are owned by or licensed to the Company unless otherwise stated.
You receive a limited, revocable, non-exclusive right to use the Platform for your own lawful purposes.
You may not reproduce, distribute, sell, reverse engineer, scrape, publish or commercially exploit Platform content without permission.
Documents belonging to users or third parties remain subject to their respective rights.
26. Confidentiality
We take reasonable steps to protect confidential information supplied through the Platform.
Confidentiality does not prevent disclosure where:
- the user authorises it;
- disclosure is reasonably required to perform a Service;
- information must be shared with a selected provider;
- disclosure is required by law or an authority;
- disclosure is necessary to protect rights or address fraud or security;
- the information is already lawfully public.
Independent providers may require separate confidentiality arrangements.
27. Privacy
Personal data is processed in accordance with our Privacy Policy.
The Privacy Policy forms part of the Platform documentation but does not replace these Terms.
By using the Platform, you acknowledge that you have had an opportunity to review the Privacy Policy.
Consent for optional marketing or sensitive processing will be obtained separately where required.
28. Platform Availability
We aim to maintain reasonable availability but do not guarantee that the Platform will be uninterrupted or error-free.
Access may be affected by:
- maintenance;
- updates;
- technical failures;
- provider outages;
- cybersecurity events;
- internet or telecommunications interruptions;
- force majeure;
- legal or regulatory requirements.
We may modify, suspend or discontinue features where reasonably necessary.
29. Suspension and Termination
We may suspend or terminate an Account where:
- these Terms are breached;
- information is false or misleading;
- the Account is used unlawfully;
- security is compromised;
- payment obligations relating to an activated Service are not met;
- compliance concerns arise;
- the Platform or another person may be harmed;
- continued access is no longer appropriate.
A user may request account closure at any time.
Termination does not affect:
- accrued payment obligations;
- completed Services;
- confidentiality duties;
- intellectual property rights;
- liability for prior breaches;
- lawful retention of records;
- provisions intended to survive termination.
30. Limitation of Liability
To the maximum extent permitted by applicable law, the Company is not liable for:
- decisions made without an activated Service;
- reliance on general website information;
- inaccurate information supplied by a user or third party;
- acts or omissions of independent providers;

- indirect, incidental or consequential loss;
- loss of profit, opportunity, goodwill or anticipated savings;
- interruption caused by external technology or communications providers;
- unauthorised Account access caused by the user's failure to protect credentials.
Nothing in these Terms excludes liability that cannot legally be excluded, including liability arising from fraud or wilful misconduct where applicable.
Any additional liability rules relating to a paid Service may be stated in the relevant Service Order.
31. Indemnity
To the extent permitted by law, you are responsible for loss reasonably arising from:
- your unlawful use of the Platform;
- knowingly false or fraudulent information;
- unauthorised disclosure of third-party data;
- infringement of intellectual property rights;
- misuse of another person's Account;
- material breach of these Terms.
This provision does not apply to the extent that loss was caused by the Company's own unlawful conduct.
32. Changes to These Terms
We may update these Terms to reflect changes in:
- law;
- platform functionality;
- security requirements;
- business operations;
- service scope;
- technology providers.
The current version will be published with its effective date.
Material changes affecting registered users may also be notified through email or the Platform.

Continued browsing alone will not replace renewed acceptance where renewed acceptance is legally or contractually required.
33. Assignment
You may not transfer your Account or rights under these Terms without our consent.
We may transfer these Terms as part of a lawful restructuring, merger, sale, transfer of business or succession, subject to applicable law and appropriate notice where required.

This does not excuse payment for Services already properly supplied.
35. Severability
If any provision is found invalid or unenforceable, the remaining provisions remain effective.
The invalid provision will be interpreted or adjusted only to the minimum extent necessary to make it lawful and enforceable where permitted.
36. No Waiver
Failure to enforce a provision immediately does not waive the right to enforce it later.
A waiver is effective only when clearly made by the party granting it.
37. Entire Framework Agreement
These Terms, together with the Privacy Policy and any applicable Service Order, form the agreement relating to the relevant Platform use and Service.
They replace earlier website terms concerning the same subject.
A Service Order may add specific conditions but does not automatically amend unrelated Services.
38. Governing Law
These Terms and the framework relationship are governed by the federal laws of the United Arab Emirates and the applicable laws and regulations of the Emirate of Ajman.
The Company's MOA provides that applicable laws in the Emirate of Ajman, including Ajman Free Zone regulations, apply to matters not otherwise covered by the MOA.
Mandatory consumer protection or data protection laws applicable to a particular user are not excluded where they cannot legally be waived.
39. Jurisdiction
Subject to any mandatory law or agreed dispute-resolution procedure, the courts of the Emirate of Ajman shall have jurisdiction over disputes arising from these Terms.
The corporate MOA identifies the Ajman Federal Court of First Instance, or another subsequently established competent judicial body, for relevant corporate disputes.
Before commencing formal proceedings, the parties should attempt in good faith to resolve the dispute through written communication.
40. Language
These Terms are issued in English.
Where mandatory UAE law requires information or contractual material to be supplied in Arabic, the Company may provide an Arabic version or supplementary Arabic information.
The UAE Consumer Protection Law applies to services and e-commerce activity supplied by UAE-registered providers, including providers in free zones. It also states that consumer-related contracts and information must be provided in Arabic, with other languages permitted alongside Arabic.
